1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "Candidate", or "User"), and Sentinel Tech Solutions LLC ("Company," "we," "us," or "our"), concerning your access to and use of our website (sentineltech.solutions) as well as any related staffing, consulting, or software development services provided by us.

Our principal place of business is located at 10573 Katalpa Dr, Fort Worth, Texas. By accessing our website or engaging our services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.

2. Description of Services

Sentinel Tech Solutions LLC provides specialized professional services including, but not limited to:

• IT Staff Augmentation: Supplying vetted technical contractors, software engineers, systems architects, and technical project personnel to client teams.
• Direct Hire & Permanent Placement: Sourcing, screening, and introducing technical professionals for permanent employment.
• Software Consulting & Development: Architectural assessment, enterprise cloud engineering, full-stack application development, and Identity & Access Management (IAM) implementation under mutually executed Statements of Work (SOWs).

3. Statements of Work (SOW) and Commercial Terms

Specific project milestones, hourly rates, fixed fees, candidate placement fees, invoicing cadences, and payment terms will be defined in individual Master Services Agreements (MSAs), Statements of Work (SOWs), or Fee Agreements executed between Sentinel Tech Solutions LLC and the Client. In the event of a conflict between these Terms and an executed SOW/MSA, the executed SOW/MSA shall take precedence.

4. Intellectual Property Rights

Unless otherwise agreed upon in an executed Statement of Work:

• Client Deliverables: Upon full and final payment, all bespoke software code, documentation, and tailored engineering deliverables created exclusively for Client under an authorized SOW will belong to Client.
• Background IP: Sentinel Tech Solutions LLC retains all rights, title, and interest in and to our proprietary developer tools, pre-existing frameworks, design templates, branding assets (including the Sentinel Tech Solutions logo and website), and foundational software components.

5. Non-Solicitation and Placement Protections

Clients agree that during the term of any engagement and for a period of twelve (12) months following the termination of any assignment or candidate introduction, Client shall not directly or indirectly hire, solicit, or engage any candidate, contractor, or employee introduced by Sentinel Tech Solutions LLC without payment of the agreed-upon conversion or direct placement fee.

6. Warranties and Disclaimers

Sentinel Tech Solutions LLC exercises rigorous technical vetting standards to verify the qualifications, skills, and backgrounds of our consultants and software engineers. However, all services and website content are provided on an "as-is" and "as-available" basis. We disclaim all warranties of any kind, whether express, statutory, or implied, including warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Sentinel Tech Solutions LLC, its directors, employees, or contractors be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, loss of data, or operational interruptions. Our total liability for any claim arising out of or relating to our services shall not exceed the total fees actually received by us from Client under the applicable SOW during the three (3) months preceding the incident.

8. Governing Law and Jurisdiction

These Terms shall be governed by and defined following the laws of the State of Texas, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts situated in Tarrant County, Fort Worth, Texas.
